1. Acceptance of Terms

By accessing or using AgencyOS ("Service"), operated by Escalers ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

AgencyOS is a multi-tenant SaaS platform that provides:

• Translation Management System (TMS) with translation memory
• SEO automation and content strategy tools
• AI-powered content generation using multiple AI providers
• Autonomous AI agents for code generation and workflow automation
• Integration with third-party services (Google Search Console, WordPress, etc.)
• Multi-tenant agency and client management

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to use this Service. By registering, you represent that you have the authority to bind yourself or your organization to these Terms.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You agree to notify us immediately of any unauthorized access
• You are liable for all activities conducted through your account
• We reserve the right to suspend accounts that violate these Terms

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service for lawful business purposes related to translation management, SEO optimization, and content creation.

4.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to generate spam, phishing content, or malicious SEO
• Abuse AI features to create harmful, illegal, or unethical content
• Resell or redistribute the Service without authorization
• Overload or interfere with platform infrastructure
• Scrape or harvest data without permission

5. Intellectual Property

5.1 Your Content

You retain all ownership rights to content you upload ("Your Content"). By uploading content, you grant us a license to:

• Store, process, and display Your Content within the Service
• Use Your Content to provide AI-powered features (translation, SEO analysis, etc.)
• Create backups and derivatives necessary for Service operation

This license terminates when you delete Your Content or close your account.

5.2 Our Intellectual Property

The Service, including its code, design, features, and branding, is owned by Escalers and protected by intellectual property laws. You may not copy, modify, or create derivative works without written permission.

5.3 AI-Generated Content

Content generated by AI features (translations, SEO content, code) is provided to you as part of the Service. You are responsible for reviewing and validating AI-generated content before use.

6. Payment Terms

6.1 Fees

Certain features require paid subscriptions. Fees are billed according to your selected plan and are non-refundable except as required by law.

6.2 Payment Processing

Payments are processed by third-party payment processors. By providing payment information, you authorize us to charge your payment method for all fees incurred.

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

7. Data and Privacy

Our collection and use of your data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Integrations

The Service integrates with third-party services including:

• AI providers (Anthropic, OpenAI, Google)
• Google Search Console
• GitHub
• WordPress
• Other services as specified in documentation

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party service performance or policies.

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

10. Disclaimers and Limitations of Liability

10.1 AS-IS Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 AI Accuracy

AI-generated content (translations, SEO recommendations, code) may contain errors or inaccuracies. You are solely responsible for reviewing and validating all AI-generated content before use.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESCALERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or malicious code transmitted through the Service
• Any errors or omissions in content or for any loss or damage incurred as a result of your use of any content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Escalers and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content and its use by the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting support or using account deletion features.

12.2 By Us

We may suspend or terminate your account immediately if:

• You breach these Terms
• Your use poses a security risk
• You engage in fraudulent activity
• We are required to do so by law
• Your account remains inactive for an extended period

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete or anonymize your data according to our Privacy Policy, typically within 90 days.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, please contact us at morten@escalers.com to attempt to resolve the dispute informally.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles.

13.3 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the Danish Arbitration Association. The arbitration shall take place in Copenhagen, Denmark.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Escalers regarding the Service.

14.2 Modifications

We may modify these Terms at any time. We will notify you of material changes via email or platform notification. Your continued use after changes constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
